Elon Musk’s lawsuit against OpenAI CEO Sam Altman has been dismissed on procedural grounds rather than the merits of the case. A jury and judge determined that Musk filed his complaint too late, with the statute of limitations rendering the case inadmissible before a full trial could proceed.

Musk, a co-founder and early donor to OpenAI, sued in 2024 alleging unjust enrichment by company leadership. He claimed that Altman and others had abandoned OpenAI’s founding mission of developing artificial general intelligence (AGI) for the greater good, instead pivoting toward a for-profit structure. Though the restructuring technically maintained a nonprofit element, Musk objected to the shift toward commercialization.

The dispute’s origins trace to 2018, when Musk departed OpenAI after the board refused to grant him total control. According to OpenAI president Greg Brockman, this power struggle prompted Musk’s exit.

By dismissing the case on timing grounds, the court avoided addressing the substantive claims about whether the company’s leaders violated founding principles or committed unjust enrichment.
